Acceptance

In order to get any license under these terms, you and your company must agree to them as both strict obligations and conditions to all your licenses.

Copyright License

The licensor grants you a copyright license for the software to do everything you might do with the software that would otherwise infringe the licensor's copyright in it, for any permitted purposes listed below. However, you may only distribute the software according to Distribution License, and you may only make changes or new works based on the software according to Changes and New Works License.

Distribution License

The licensor grants you an additional copyright license to distribute copies of the software, in source or any other form, only for permitted purposes listed below and not for commercial purposes. This license to distribute covers distributing the software with changes and new works permitted by Changes and New Works License.

Notices

You and your company must ensure that anyone who gets a copy of any part of the software from you also gets a copy of these terms, as well as copies of any plain-text lines beginning with "Required Notice:" that the licensor provided with the software.

Changes and New Works License

The licensor grants you and your company an additional copyright license to make changes and new works based on the software for any permitted purposes listed below.

Patent License

The licensor grants you and your company a patent license for the software that covers patent claims the licensor can license, or becomes able to license, that you would infringe by using the software for a permitted purpose.

Permitted Purposes

Any noncommercial use by a research organization is a permitted purpose. Research organizations include: charitable organizations, educational institutions, public research organizations, public safety or health organizations, environmental protection organizations, and government institutions.

Any research purpose, by any person or organization, is a permitted purpose. Research purposes include:

  • academic and scientific research;
  • education and teaching;
  • personal study and experimentation;
  • testing, evaluation, and benchmarking, including evaluation by a commercial organization deciding whether to seek a commercial license;
  • reproducing or verifying published results; and
  • producing and publishing research results, papers, theses, and other scholarly works.

Use for or on behalf of a commercial purpose is not a permitted purpose, even where the use also serves a research purpose. Commercial purposes include, without limitation: incorporating the software, or a work based on it, into a commercial product or service; using the software to provide services to others for payment or other commercial advantage; using the software in the internal operations of a commercial business, other than evaluation of the software itself; and distributing the software, or a work based on it, as part of a commercial offering.

Citation

If you or your company publish results obtained using the software, you must cite the software and the accompanying paper or papers identified in the CITATION.cff file distributed with the software, in customary academic form.

Commercial Licensing

If you want to use the software for any purpose these terms do not permit as a permitted purpose, contact the licensor at [email protected]. Commercial licenses are available separately.

No Other Rights

These terms do not allow you to sublicense or transfer any of your licenses to anyone else, or prevent the licensor from granting licenses to anyone else. These terms do not imply any other licenses. These terms do not grant permission to use the trade names, trademarks, service marks, or product names of the licensor or its affiliates, including but not limited to "Ammonix," except as required for reasonable and customary use in describing the origin of the software and reproducing the content of any required notice. You may not use any such marks in any manner that suggests endorsement, sponsorship, or affiliation with any derivative work or distribution.

Patent Defense

If you make any written claim that the software infringes or contributes to infringement of any patent, or if you institute patent litigation against any entity (including a cross-claim or counterclaim in a lawsuit) alleging that the software constitutes direct or contributory patent infringement, your patent license for the software granted under these terms ends immediately as of the date such claim is made or such litigation is filed. If you or your company makes such a claim or institutes such litigation, your patent license ends immediately for work on behalf of you or your company.

Violations

If you are notified in writing from the licensor or its agent that you have violated any of these terms, or done anything with the software not covered by your licenses, your licenses can nonetheless continue if you come into full compliance with these terms, and take practical steps to correct past violations, within 32 days of receiving notice. Otherwise, all your licenses end immediately on the date 32 days from notice.

No Liability

Unless required by applicable law or agreed to in writing, the licensor provides the software on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE. You are solely responsible for determining the appropriateness of using or redistributing the software and assume any risks associated with your exercise of permissions under this license. The licensor will not be liable to you for any damages arising out of these terms or the use or nature of the software, under any kind of legal claim.

Definitions

The licensor is the entity offering these terms, and the software is the software the licensor makes available under these terms.

You refers to the individual or entity agreeing to these terms.

Your company is any legal entity, sole proprietorship, or other kind of organization that you work for, plus all organizations that have control over, are under the control of, or are under common control with that organization.

Control means ownership of substantially all the assets of an entity, or the power to direct its management and policies by vote, contract, or otherwise. Control can be direct or indirect.

Your licenses are all the licenses granted to you and your company for the software under these terms.

Use means anything you do with the software requiring one of your licenses.
